Unless otherwise stated in writing, estimates remain valid for thirty (30) days from the date issued.

4. Acceptance of Estimate

Acceptance of an estimate, proposal, or contract authorizes ESC Landscapes, LLC to perform the work described therein and constitutes acceptance of these Terms and Conditions.

5. Deposit and Payment Terms

A deposit is required before scheduling and commencing work.

Unless otherwise specified in writing:

• Deposit: 10% of the contract amount or up to $1,000.00 due upon acceptance;

• Progress Payments: May be required depending on project size and duration;

• Final Payment: Due immediately upon completion of work.

Invoices not paid within seven (7) days of completion may be subject to a late fee of 5% per month on the unpaid balance.

ESC Landscapes, LLC reserves the right to suspend work if payments are not received according to agreed terms.

6. Change Orders

Any changes to the scope of work after acceptance must be approved through a written change order.

Additional work shall be billed at agreed pricing or at ESC Landscapes' current labor and material rates.

Change orders may impact project pricing and completion schedules.

7. Scheduling and Delays

Project scheduling is subject to:

• Weather conditions;

• Material availability;

• Permit processing;

• Inspections;

• Unforeseen site conditions;

• Labor availability.

ESC Landscapes, LLC shall not be liable for delays caused by circumstances beyond its reasonable control.

8. Site Access and Property Conditions

Customers agree to provide reasonable access to the property during scheduled work hours.

The Customer is responsible for identifying:

• Property boundaries;

• Private utility lines;

• Irrigation systems;

• Septic systems;

• Underground structures not identified by utility locating services.

ESC Landscapes, LLC is not responsible for damage to unmarked utilities, structures, or underground improvements.

9. Permits and Regulatory Compliance

Unless otherwise specified in writing, permits, inspections, engineering, and associated fees are the responsibility of the Customer.

Upon request, ESC Landscapes may assist with permitting for an additional fee.

All work shall be performed in accordance with applicable laws, regulations, and building requirements.

10. Materials

Material selections are subject to supplier availability.

If specified materials become unavailable, ESC Landscapes may recommend comparable alternatives subject to Customer approval.

Natural materials including stone, wood, soil, mulch, and plants may vary in color, texture, size, and appearance.

Such variations shall not be considered defects.

11. Plant Warranty

Unless otherwise stated in writing, plants installed by ESC Landscapes, LLC carry a limited thirty (30) day warranty.

The warranty does not cover plant loss caused by:

• Improper watering;

• Irrigation failure;

• Extreme weather conditions;

• Pest infestations;

• Disease;

• Animal damage;

• Human damage;

• Soil conditions;

• Drainage issues beyond Contractor control.

Replacement plants are subject to seasonal availability.

12. Irrigation and Drainage

Proper irrigation and drainage are essential to landscape performance.

ESC Landscapes, LLC shall not be responsible for:

• Plant loss caused by improper watering;

• Existing drainage deficiencies;

• Property damage caused by pre-existing drainage conditions;

• Irrigation systems altered or maintained by others after installation.

13. Property Protection

ESC Landscapes will exercise reasonable care while performing services.

The Customer acknowledges that construction activities involving excavation, machinery, grading, and material delivery may cause temporary disturbance to surrounding areas.

Repairs outside the contracted scope may result in additional charges.

14. Cleanup

ESC Landscapes will remove construction debris generated by the project upon completion.

Normal construction conditions including minor soil settlement, dust, and incidental debris are considered standard and may require ongoing site maintenance.

15. Cancellation

If a Customer cancels a project after acceptance but before work begins:

• Deposits may be retained to cover administrative costs, scheduling, design work, and materials ordered.

If work has commenced:

• The Customer shall pay for completed work, materials purchased, special-order items, and any associated costs incurred before cancellation.

16. Limitation of Liability

To the fullest extent permitted by law, ESC Landscapes, LLC shall not be liable for:

• Indirect damages;

• Consequential damages;

• Loss of profits;

• Loss of use;

• Acts of nature;

• Third-party actions;

• Pre-existing site conditions.

ESC Landscapes' maximum liability shall not exceed the amount paid under the applicable contract.

17. Mechanic's Lien Rights

Pursuant to California law, ESC Landscapes, LLC reserves all rights to file a mechanic's lien or pursue any legal remedy for unpaid labor, services, equipment, or materials supplied to a project.

18. Intellectual Property

All content on this Website, including text, logos, graphics, photographs, designs, and branding, is the property of ESC Landscapes, LLC and may not be copied, reproduced, distributed, or used without written consent.
